1. Parties

These terms govern the relationship between VTAK LABS LTD / ВТАК ЛАБС ООД, hereinafter the "Provider", and the person or company named in the payment form, the invoice or another written record, hereinafter the "Client".

2. Subject

The Provider provides a service of building, final styling, publishing, technical setup, hosting/deployment, assistance with the domain and DNS, SSL setup, basic technical SEO preparation and ongoing maintenance of a website, according to the public offer and any additional scope agreed in writing.

3. Public offer and acceptance

The standard scope and price of the service are stated on the public offer page and in the payment form. Additional services or changes outside the standard scope are agreed in writing. If these Terms differ from an expressly confirmed additional written condition, the latter prevails only for the specific parameter it names.

These Terms are accepted by ticking the relevant box in the payment form and proceeding to payment, by making the payment, or by any other action that shows the Client's intention.

4. Building the site and starting work

Work on the site starts after the first monthly payment. The Provider presents a personalised first version within 7 business days of the confirmed payment and of receiving the necessary materials. The Client reviews the version and discusses corrections before approval and publishing.

After the payment is confirmed, the Provider agrees the necessary final changes with the Client, suggests a suitable domain, and finalises, technically optimises and publishes the site, based on the materials and feedback provided.

Work starts after the payment is confirmed, these terms are accepted and the necessary data and materials are provided. For a consumer client, express consent may be required for work to start before the statutory withdrawal period has ended.

If you do not like the first version presented and do not want us to continue with corrections, you can ask for a full refund of the first monthly payment of 50 euro. The guarantee applies before approval and publishing. On a refund, the subscription ends with no future payments. The domain is registered after approval. This guarantee does not limit consumers' statutory rights.

5. What is included

The standard monthly service includes a personalised build of the site and corrections before approval, choosing and helping with a suitable domain, publishing, connecting the domain and DNS, hosting, SSL, a mobile version, basic technical SEO setup, forms or contact links, basic technical optimisation, access to the available analytics information and ongoing technical maintenance within the monthly plan.

6. What is not included

Not included are large redesigns after approval, unlimited changes, writing large amounts of content, professional photography/video, legal texts, accounting advice, paid advertising, complex back-end systems, custom CRM, online shops, members' areas or integrations outside the offer.

7. Changes and revisions

The Client may ask for reasonable final corrections within the standard scope. The Provider may refuse, postpone or quote separately for changes that alter the original structure or concept, require significant new development or new functionality, or delay the launch.

8. Subscription, domain and hosting

8.1. Under the public offer with a monthly price of 50 euro including VAT, the Client owes no separate upfront fee for building the site. Building, finalising, publishing and providing the site are part of the active subscription service.

8.2. The subscription is paid in advance, monthly, from the date of the first payment, and has no minimum term. The Client may cancel it at any time, without penalties and without additional fees. Cancellation takes effect at the end of the current paid monthly period, and no new monthly fees are charged after that.

8.3. While the subscription is active, the Client has the right to use the site built for them through the Provider's infrastructure, hosting and technical environment.

8.4. Cancelling the subscription does not automatically mean that the site, its code, files or other technical assets are acquired or technically transferred.

8.5. Where the domain is included in the subscription, the cost of its standard registration and renewal for the period of the active subscription is borne by the Provider according to the terms of the specific service. Premium domains and other extraordinary external costs are agreed separately.

9. Acquiring and transferring the site

9.1. All texts, images, logos, trademarks, company information, product data, photos, videos and other materials provided by the Client remain the property of the Client or of their respective right holders. The Client warrants that they have the right to provide them for use on the site.

9.2. The Client may at any time ask to acquire the site built specifically for them, to use it independently outside the subscription service.

9.3. Before 12 monthly subscription fees have been paid, the site may be acquired for a one-off fee of 299 euro including VAT, unless otherwise agreed in writing.

9.4. After 12 monthly subscription fees have been paid for the same site, and provided there are no overdue payments, the Client may ask for the site to be acquired and technically transferred at no additional acquisition price.

9.5. The acquisition price under 9.3 is not a cancellation fee or penalty. The Client may cancel the subscription without acquiring the site and without paying the price under 9.3.

9.6. On acquisition, the Provider gives the Client a technical package of the specific client implementation and the rights needed to use, host, modify and develop it without time limit, to the extent those rights belong to the Provider and it is technically applicable. The handover includes a copy of the source code and the files needed to use it independently and is made through GitHub or as an archive of the files. Setting up new hosting, technical migration and further maintenance are not included and may be requested as an additional service.

9.7. Acquisition and transfer do not include general templates, reusable components, libraries, internal tools, automation systems, build or deployment infrastructure, prompts, API keys, credentials, trade secrets, know-how or other assets of the Provider that were not created exclusively for the specific Client.

9.8. Third-party software, libraries, fonts, images, services and other external components remain subject to the licences and terms of their respective right holders. The Provider does not transfer rights it does not hold.

9.9. If the Client moves the site to another provider, their own hosting, another developer or another technical environment, the Provider is not responsible for any subsequent problems, interruptions, incompatibilities, loss of functionality, SEO effects, security or maintenance, unless the parties agree a separate paid service in writing.

9.10. The Provider may keep and use in other projects the general components, knowledge, approaches, ideas and technical solutions used in the build, provided it does not use the Client's confidential information, client data, logos or protected content without permission.

10. Domain

10.1. The domain is registered and managed by the Provider for the Client. The cost of its standard registration and renewal for the period of the active subscription is included in the subscription under 8.5.

10.2. The domain is intended exclusively for the Client. At any time, including on cancellation of the subscription, the Client may ask for management of the domain to be transferred to their name or to a registrar of their choice. The Provider assists with the transfer free of charge and charges no domain transfer fee.

10.3. Fees of external registrars related to the transfer, and future renewals of the domain after the transfer, are borne by the Client.

10.4. Transferring the domain does not in itself include or give any rights to the site built, its code or technical files.

11. Custom development, technical transfer and trade secrets

11.1. The Client understands and accepts that the site is not necessarily built on WordPress, Wix, Shopify, a standard CMS or another ready-made visual editor. The site may be a custom development, a static site, a front-end application, a generated build, a headless structure or another technical implementation at the Provider's discretion.

11.2. Once the conditions for transfer are met, the Provider may give the Client a ZIP archive, a repository export or another form of technical package containing the specific files of the client site, to the extent technically applicable.

11.3. The technical package provided is not a guarantee that the site can be installed, edited, started, migrated or maintained by a person without the necessary technical knowledge. The Client understands that working with a custom site may require knowledge of HTML, CSS, JavaScript, build tools, hosting, DNS, deployment, environment variables, package managers, frameworks, command-line tools or other technologies.

11.4. On transfer, the Provider has no obligation to provide training, technical documentation beyond a reasonable description of the structure, an admin panel, CMS, drag-and-drop editor, hosting accounts, deployment pipelines, build automation, CI/CD settings, prompts, AI chats, internal instructions, reusable components, private libraries, working templates, design systems, credentials, API keys, server secrets, tokens, internal accounts or other assets of the Provider, unless expressly agreed in writing.

11.5. The Provider's working methods, processes, prompts, AI-assisted workflow, internal templates, reusable components, automation scripts, deployment approaches, non-public technical solutions, know-how, commercial practices, internal documentation and internal tools are confidential information and/or trade secrets of the Provider, to the extent they are not publicly known, are not provided as part of the technical package, and the Provider has taken reasonable measures to keep them secret.

11.6. The Client may not request, copy, publish, distribute, reverse engineer, provide to competitors or use outside the specific client project the Provider's internal tools, templates, prompts, systems, processes, automation flows, deployment settings, credentials or other confidential information.

11.7. After transfer, the Client may use, host, modify and give the specific client site to a third-party developer for maintaining or developing their own site, but may not use the package provided to create a competing service, resell it as a template, copy it at scale, as a white-label product or to develop sites for third parties, unless expressly permitted by the Provider in writing.

11.8. If the Client or a third party modifies, moves, hosts, edits or deploys the site outside the Provider's infrastructure and control, the Provider is not responsible for any subsequent errors, broken functionality, security problems, build errors, DNS problems, missing dependencies, incompatibilities, drop in performance, SEO changes, downtime, data loss or inability to maintain it in the future.

11.9. Any help with migration, setup, installation, documentation, training a third party, debugging after transfer, adapting to other hosting or changing the technology structure is a separate service and may be quoted and charged additionally.

11.10. The Provider does not guarantee that the code provided will be compatible with every future version of the technologies, dependencies, hosting environments, browsers, build tools or third-party providers used after the date of transfer.

12. Technical problems and serious outages

The Provider does not guarantee 100% uninterrupted availability. In a serious outage the Provider will make reasonable efforts to diagnose, communicate and restore. No penalties, lost profits or compensation for lost customers, sales, search engine positions or reputational damage are owed, unless expressly agreed in writing.

13. Monthly maintenance

13.1. Monthly maintenance includes ongoing technical care for the already published site within the agreed monthly plan.

13.2. Monthly maintenance includes: a) keeping the site online through the hosting/deployment infrastructure used by the Provider; b) help with the domain, DNS, SSL and basic technical settings while the site is managed by the Provider; c) basic technical checks for availability, broken links, visible errors and loading problems; d) small text changes to existing sections; e) replacing photos, the logo, phone number, email, address, opening hours, social media links and contact details; f) small visual corrections that do not change the overall design, structure or concept of the site; g) basic maintenance of contact forms, buttons and links, if included in the service; h) reasonable communication about the technical state of the site.

13.3. "Small changes" means changes that do not require a substantial redesign, new functionality, a new page, a new section with a complex structure, a new back end, an integration with an external system or significant additional development.

13.4. Monthly maintenance does not include: a) building new pages, landing pages or versions of the site; b) a full redesign or a change of structure; c) writing large amounts of new content; d) professional copywriting, photography, video, legal texts or translations; e) a booking system, members' area, CRM, dashboard, custom back end or complex integrations; f) paid advertising, SEO campaigns, link building, Google Ads, Meta Ads or social media management; g) migration to other hosting, training a third party, handing over internal tools or setup after transfer; h) urgent work outside working hours, unless agreed separately.

13.5. Unused monthly maintenance does not accumulate and does not carry over to the following months.

13.6. Requests that go beyond the included maintenance may be refused, postponed or quoted as an additional paid service.

13.7. Maintenance is provided only while the monthly plan is paid on time. Section 17 applies to overdue payments.

14. The Client's obligations

The Client provides accurate information, lawful content, rights to use images/logos/texts and timely approvals. The Client is responsible for the accuracy of the business, pricing, medical, legal, financial or regulatory information published.

15. SEO and results

The Provider may carry out basic technical SEO preparation but does not guarantee specific positions in Google, traffic, sales, enquiries or business results.

16. Payment

16.1. Payment is made by debit or credit card through Stripe Checkout.

16.2. Under the standard public offer, the monthly subscription fee is 50 euro including VAT. No separate upfront fee is charged for building or finalising the site, and there is no minimum term.

16.3. The monthly subscription fee is paid in advance for each monthly period, counted from the date of the initial payment, unless another date has been agreed in writing.

16.4. Where payment is made through Stripe or another payment provider, the Client accepts that monthly fees may be collected automatically through the chosen payment method until the subscription is cancelled.

16.5. All prices shown on the offer page, in the payment form and in these terms are final and include VAT, unless expressly stated otherwise. The tax base and the amount of VAT may be shown separately on the invoice.

16.6. The Client may cancel the subscription at any time and owes no subscription fees for periods after the end of the current paid period.

16.7. The fee paid for a monthly period that has already started is not refunded pro rata on an ordinary cancellation, except under the first-version guarantee in section 4 or where the applicable law provides otherwise.

16.8. Section 17 applies in the case of a failed automatic payment, declined card, chargeback, overdue or late payment.

16.9. Fees of third-party providers, including premium domains, paid fonts, stock images, paid plugins, external SaaS services, email services, analytics, hosting beyond the standard included volume or other external costs, are not included unless expressly stated otherwise.

16.10. All payment obligations must be settled before a technical package, code, files, repository export or other assets are transferred to the Client.

17. Overdue payments

17.1. If a payment fails, the Client is notified and has 7 days to settle the amount due.

17.2. After that period the Provider may temporarily suspend the service, including maintenance, changes, access or the public availability of the site.

17.3. A temporary suspension does not affect the Client's rights to the domain under section 10 or to the materials they provided.

18. Consumers' right of withdrawal

If the Client is a consumer within the meaning of the applicable law, they may have a 14-day right of withdrawal from a distance contract. If the Client expressly asks for work to start before that period ends, they accept that they may lose their right of withdrawal once the service has been fully performed, in accordance with the applicable law.

19. Limitation of liability

To the maximum extent permitted by law, the Provider's total liability is limited to the amounts actually paid by the Client in the 3 months before the event that gave rise to the claim. The Provider is not liable for indirect damage, lost profits, lost sales, data loss caused by third parties or interruptions beyond its reasonable control.

20. Termination

20.1. The Client may cancel the subscription at any time through the cancellation mechanism provided or by written notice to the Provider.

20.2. Cancellation takes effect after the current paid monthly period ends. Until then the site stays active. After that date the Provider stops hosting, maintenance and the services included in the plan.

20.3. On cancellation, the Client owes no future subscription fees and no price for acquiring the site, unless they expressly ask to acquire it under section 9.

20.4. If the site is not acquired, the Provider may keep a technical copy for up to 30 days after cancellation, after which it has no obligation to keep or restore it.

20.5. Cancellation does not affect the Client's rights to their own texts, logos, photos, trademarks and other materials they provided.

21. Applicable law

The laws of the Republic of Bulgaria apply, to the extent they do not conflict with mandatory consumer rights.
